odd terms of service

ON-DEAMAND Department Resources LLC. provides execution-based business support services through a customizable Menu of Services. These services may include, but are not limited to, administrative assistance, project management, marketing execution, financial and operational support, consulting, and coaching.

Services may be delivered directly by ODD Resources staff, or through affiliated independent contractors, agency partners, or strategic service providers ("Affiliates").

By engaging our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service.

• All services are provided on a fractional, contract-based, or project-specific basis.  
• Scope, deliverables, timeline, and rates are defined in writing for each engagement.  
• Ongoing or retainer-based services will auto-renew monthly unless terminated in writing with a minimum of 10 business days' notice.  
• ODD Resources retains the right to subcontract or delegate service components to qualified affiliates, provided standards of service are maintained.  

ODD Resources and its Affiliates are independent contractors. Nothing in this agreement shall be construed to create an employer-employee relationship, partnership, or joint venture between you and ODD Resources or its representatives.

• Both parties agree to maintain the confidentiality of proprietary information, client data, and internal processes disclosed during the term of service.  
• ODD Resources may collect, store, and analyze operational data for quality control, reporting, and improvement of services. Any such data will be anonymized and handled per applicable privacy regulations. 

To ensure timely execution of services, the Client agrees to:

• Provide access to necessary systems, documentation, or decision-makers.  
• Respond to requests for feedback or clarification within 48 business hours.  
• Pay all invoices in accordance with stated terms and conditions.  

• All payments are due based on the terms stated in the engagement letter, invoice, or agreement.  
• ODD Resources reserves the right to charge late fees of 1.5% per month on overdue balances and pause services until payment is received.  
• Invoices will clearly state which services were performed by ODD Resources and which, if any, were fulfilled by Affiliates.  

 All templates, systems, SOPs, training tools, and strategic materials created by ODD Resources or its Affiliates during the course of service remain the intellectual property of ODD Resources unless otherwise agreed in writing. Client retains ownership of their proprietary brand assets, customer data, and internal systems provided to ODD Resources

• All services are offered "as-is" with no guarantee of specific outcomes or revenue results. Execution support is dependent on client responsiveness and alignment.  
• In no event shall ODD Resources, its Affiliates, or agency partners be liable for indirect, incidental, or consequential damages arising from services rendered.  
• Total liability for any claim shall not exceed the total amount paid by the Client for the specific service in question over the preceding 30 days. 

Either party may terminate services with 10 business days’ written notice. Upon termination:

• All outstanding invoices will become due immediately.
   
• ODD Resources will return all proprietary materials belonging to the Client within 30 business days.
   
• No refunds will be issued for services already rendered.
  

ODD Resources reserves the right to reference general project categories, use anonymized results, or list client logos as part of promotional or educational materials, unless expressly prohibited in writing.

This agreement shall be governed by the laws of the State of [Insert State], without regard to its conflict of law principles.

These Terms of Service, along with any signed proposal or engagement letter, constitute the full agreement between the parties and supersede any prior verbal or written communications.
